TERMS & CONDITIONS

These terms and conditions (“Terms”) govern your use of the services, programs, events, and website provided by Impactology Pty. Ltd. ABN 69 149 507 885 (“Impactology”/“we”/“us”/“our”). By accessing our website or engaging our services, you agree to be bound by these Terms.

1. Services

Impactology provides professional development programs, consulting services, coaching, workshops, and events (“Services”). The specific details of Services will be outlined in individual service agreements, proposals, or booking confirmations.

2. Registration and Booking

To participate in our programs or events, you must complete the registration process and provide accurate information. By registering, you confirm that:

  1. all information provided is accurate and complete;
  2. you have the authority to enter into this agreement on behalf of yourself or your organisation;
  3. you will notify us promptly of any changes to your contact or registration details; and
  4. you meet any prerequisites or eligibility requirements for the program.

3. Payment Terms

Unless otherwise specified in a service agreement or invoice, the following payment terms apply:

  1. payment is due within 14 days of invoice date or prior to the commencement of the program, whichever is earlier;
  2. all prices are in Australian dollars and exclusive of GST unless stated otherwise;
  3. we accept payment by bank transfer, credit card, or other methods as specified on our invoices;
  4. late payments may incur interest at a rate of 2% per month on the outstanding balance; and
  5. we reserve the right to suspend or cancel Services if payment is not received by the due date.

4. Cancellation and Refund Policy

The following cancellation policy applies to our programs and events:

  1. cancellations made more than 30 days before the program start date will receive a full refund less an administration fee of $150;
  2. cancellations made between 14 and 30 days before the program start date will receive a 50% refund;
  3. cancellations made less than 14 days before the program start date are non-refundable;
  4. substitution of participants is permitted at any time with prior written notice to us; and
  5. we reserve the right to cancel or reschedule programs due to insufficient enrolments or unforeseen circumstances, in which case a full refund will be provided.

5. Intellectual Property

All materials, content, methodologies, and intellectual property provided during our programs and Services remain the exclusive property of Impactology. You agree that:

  1. program materials are provided for your personal or internal business use only and may not be reproduced, distributed, or shared without our prior written consent;
  2. you will not record, photograph, or capture any part of our programs without explicit permission;
  3. any feedback, ideas, or suggestions you provide may be used by us without obligation to you; and
  4. our trademarks, logos, and branding may not be used without our express written consent.

6. Confidentiality

During the course of our programs and Services, confidential information may be shared by participants and facilitators. You agree to:

  1. maintain the confidentiality of any sensitive information disclosed during sessions;
  2. not use or disclose any confidential business information belonging to Impactology or other participants; and
  3. respect the privacy of fellow participants and refrain from sharing their personal stories or information outside the program.

7. Code of Conduct

Participants in our programs are expected to conduct themselves professionally and respectfully. We reserve the right to remove any participant who:

  1. engages in disruptive, abusive, or inappropriate behaviour;
  2. harasses or discriminates against other participants or staff;
  3. violates these Terms or any applicable laws; or
  4. otherwise acts in a manner that negatively impacts the learning environment for others.

No refund will be provided in the event of removal for breach of the code of conduct.

8. Limitation of Liability

To the maximum extent permitted by law:

  1. our Services are provided on an “as is” basis and we make no warranties regarding specific outcomes or results;
  2. we are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Services;
  3. our total liability for any claim related to our Services shall not exceed the amount paid by you for those Services; and
  4. nothing in these Terms excludes or limits any liability that cannot be excluded or limited under Australian Consumer Law.

9. Indemnification

You agree to indemnify and hold harmless Impactology, its directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

  1. your breach of these Terms;
  2. your violation of any applicable laws or regulations;
  3. your infringement of any third-party rights; or
  4. any content or information you provide to us.

10. Website Use

When using our website at www.impactology.com.au, you agree to:

  1. use the website only for lawful purposes and in accordance with these Terms;
  2. not attempt to gain unauthorised access to any part of the website or its systems;
  3. not transmit any viruses, malware, or other harmful code;
  4. not use automated systems or software to extract data from the website without our consent; and
  5. acknowledge that we may modify, suspend, or discontinue the website at any time without notice.

11. Third-Party Links

Our website and materials may contain links to third-party websites or services. We are not responsible for the content, privacy practices, or availability of these external sites. Your use of third-party services is at your own risk and subject to their respective terms and conditions.

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, civil unrest, or technical failures.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our Services after any changes constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.

15. Governing Law

These Terms are governed by the laws of Victoria, Australia. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Victoria.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and Impactology regarding the subject matter hereof and supersede all prior agreements and understandings.
